Standard Form Agreement		Typical Applications
Engineering Services Agreement		Purchase/contract for engineering design services.
		A master agreement in which umbrella terms and conditions are established, and services are performed under individual Statements of Work.
		This document may be used in all cases, irrespective of value.
General Conditions of Contract―Construction		Purchase/contract for construction services, hazardous or high risk work or risk, such as:
		-	Power plant construction
		-	Electric line construction
		-	Gas line construction
		-	Vegetation management
		-	Hazardous material abatement
General Conditions of Contract―Non-Construction		Purchase/contract complex engineered equipment:
		-	Equipment engineered for a specific purpose
		-	Critical equipment with high value, such as:
				Power plant boilers
				Power plant scrubbers
				Turbine rotors
				Power transformers
		-	Scope of work is engineer, design, manufacture, and supply equipment
		-	No field activities on the part of the manufacturer, (provision of on-site technical support may be included or addressed with a separate Services or Engineering Services Agreement)
IT Services Agreement		Contract for IT (information technology) services, such as:
		-	Applications development
		-	Systems implementation and integration
		-	Other related IT Services

Non-Disclosure Agreement - One Way		Not used for purchase or to contract for materials or services.
		To be used when Ameren is disclosing but not receiving confidential information.

		To be used when Ameren is both disclosing and receiving confidential information.
Purchase Order Terms and Conditions		Purchase of material:
		-	Office supplies

		-	Uniforms
		This document is to be used for the purchase of non-complex engineered equipment.
Services Agreement		Purchase/contract for professional and non-IT consulting services, such as:
		-	Audit services
		-	Management consulting
		-	Marketing study
		-	Outsourced services
		Purchase/contract for non-construction, on site services such as:
		-	Janitorial services
		-	Lawn mowing
		-	Painting
		-	Security

Software License Agreement		Purchase/contract for software licensing and technology.
		Sufficiently comprehensive in scope that it can be structured to encompass commercially available software as well as software development projects.
Software Maintenance Agreement		Purchase/contract for software maintenance, updating and other modification of licensed software.
		A companion agreement to the form Software License Agreement (which shares many of its provisions).
		A second document is used to address maintenance issues since at a future date it is possible that Ameren might decide to terminate maintenance service while retaining use of the licensed software.
